INTEGRITY AGREEMENT

I’m going to help you achieve the best possible results for your client by informing and empowering you when it comes to mitigation. In order to do so, I’m going to share with you information and materials which are technical and/or business related that may include, among other things: intellectual property; formulas; processes; technical information; analyses; documents; business practices ("Confidential Data").  Confidential Data may be written, oral, or recorded in any other media or format.  By purchasing any of my content, you promise the following 8 things:

1.          You represent that you are not a police officer or a prosecutor.

2.          You acknowledge that all Confidential Data is and will be considered to be proprietary to and/or trade secrets of the Heart of Justice LLC, and that the unauthorized use or disclosure of any Confidential Data would be harmful.  This Agreement doesn’t grant you a license from the Heart of Justice LLC under any patent, copyright, trademark or trade secret rights. 

3.             You agree that neither you nor your agents will duplicate, distribute, disclose, share or in any other way, make the Confidential Data available to other parties unless they are your lawyer, consultant, subcontractor or other agent and they have agreed to these terms in this Integrity Agreement.  If your agent breaches this Agreement, you will be responsible.

4.             You will use at least reasonable care in protecting the Confidential Data.

5.             You agree that because of the unique nature of the Confidential Data, Heart of Justice LLC would suffer irreparable harm if you breach this Integrity Agreement, and money damages and other remedies will not be enough so, Heart of Justice LLC will also be entitled to injunctive relief.

6.             If someone requests you or your agent to submit Heart of Justice LLC’s Confidential Data via a subpoena, summons, search warrant, court or governmental order you will give the Heart of Justice LLC a reasonable opportunity to oppose this release.

7.             You agree to be liable to the Heart of Justice LLC, and its agents for anything resulting from your or your agent’s negligent acts or omissions in connection with a breach of this Integrity Agreement.  In addition, if you breach this Integrity Agreement you agree to pay Heart of Justice LLC any money received by you from your breach.

8.             The laws of the State of Texas will govern the terms and conditions of this Integrity Agreement. Any provision in this agreement that is illegal or unenforceable will be removed and the remainder of this Integrity Agreement will still be in effect.
